Terms of Service
These Terms of Service (the “Terms”) are an agreement between you and Neuraft Studio [registered legal name and number] (“Neuraft Studio”, “we”, “us”), the provider of Pulse (the “Service”). By creating an account, requesting access or using the Service, you agree to these Terms and to our Privacy Policy. If you use Pulse on behalf of a company, you confirm you're authorised to do so.
1. Who can use Pulse
You must be at least 18 years old, or the age of legal majority where you live, and able to enter a binding contract. Accounts are for named individuals; you may not share your sign-in with anyone.
2. Workspaces and roles
Pulse is organised into workspaces. A company workspace belongs to the company that contracted with us (the “Customer”). If your account is in a company workspace:
- The Customer, through its administrators, controls your account: it can change your role, reset your password, deactivate you, and see the work you do in shared spaces (projects, tasks, shared notes, public channels, reports, and the activity log).
- Content you create for the Customer belongs to the Customer, not to you or to us.
- Your use is also governed by your agreements with the Customer; if they conflict with these Terms on how the Customer manages its own staff, theirs apply between you and them.
A personal workspace belongs to you.
3. Your account and security
Keep your password confidential and choose a strong one. Tell your workspace administrator, or us, straight away if you think someone else has used your account. You are responsible for activity under your account unless it results from our failure to protect it. Publishing keys for reports are credentials too: keep them out of shared files and replace them if they may have leaked.
4. Acceptable use
You agree not to:
- break any law that applies to you, us or the Customer, or infringe anyone's rights;
- upload anything unlawful, defamatory, harassing, or that you have no right to share, including other people's personal data without a lawful basis;
- upload malware, or dashboards or files designed to harm viewers, collect their data, or evade the Service's protections;
- probe, scan or test the Service's security, or access workspaces, accounts or data that aren't yours, except under a written agreement with us;
- overload the Service, automate access beyond the publishing interface we provide, or resell or sublicense it without our written permission;
- use chat or email notifications to send spam or unsolicited messages.
5. Your content
You (or the Customer) keep all rights to the content put into Pulse: projects, tasks, notes, messages, files and dashboards. You grant us a limited licence to host, store, copy, transmit and display that content only to run, secure, back up and support the Service for you. We don't sell your content, don't use it for advertising, and don't use it to train machine-learning models.
You're responsible for your content and for having the right to upload it. Uploaded dashboards run in an isolated sandbox, but you remain responsible for what they contain.
6. Privacy and confidentiality
Our Privacy Policy explains what we collect and why. Private channels and direct messages are visible in the app only to their members — company administrators included cannot open them in Pulse. People who operate the servers (Neuraft Studio, or the Customer if it hosts Pulse itself) have technical access to the database and use it only to run, secure and support the Service, or where the law requires. Treat any system as something that could be disclosed under a lawful order.
7. Email notifications
We send email only when you ask for it. Notifications are off until you turn them on in your account and confirm your address. Every notification email has a one-click unsubscribe link. We may send a small number of service emails you can't opt out of — confirming your address or telling you about a security incident or a change to these Terms.
8. Availability and changes to the Service
We work to keep Pulse available and secure, but it is provided without a guaranteed uptime unless a separate agreement with the Customer says otherwise. Maintenance, internet disruptions, and events outside our control can interrupt it. We may change or remove features; if a change significantly reduces what the Customer relies on, we'll give reasonable notice.
9. Fees
Fees, if any, are set out in a separate order or agreement with the Customer. Using Pulse in a personal workspace is free unless we tell you otherwise in advance.
10. Our intellectual property
Pulse — its software, design, the Pulse and Neuraft Studio names and marks — belongs to Neuraft Studio and its licensors. These Terms give you the right to use the Service, not ownership of it. Company names and logos shown in a workspace belong to their owners. If you send us feedback, we may use it without obligation to you.
11. Suspension and termination
You can stop using Pulse at any time; ask your workspace administrator, or us for a personal workspace, to close your account. We may suspend or close an account or workspace that breaches these Terms, puts others at risk, or that the Customer asks us to deactivate. Where it's lawful and safe, we'll tell you first. After a workspace is closed we keep its data for up to 30 days, so the Customer can export it, and then delete it, except where we must keep something by law or it remains in backups that expire on their normal cycle.
12. Disclaimers
To the extent the law allows, Pulse is provided “as is” and “as available”. We don't promise it will be error-free or that dashboards and reports published through it are accurate — they come from the people who publish them. Nothing in these Terms excludes rights you have that can't lawfully be excluded.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential losses, or for lost profits, revenue or data that could have been avoided by reasonable backups. Our total liability arising from the Service in any twelve months is limited to the fees the Customer paid us for it in those twelve months, or, for free use, the equivalent of 10,000,000 Rials. These limits don't apply to fraud, wilful misconduct, or anything else that can't legally be limited.
14. Indemnity
If a claim is made against us because of content you uploaded or your breach of Section 4, you agree to cover our reasonable costs of dealing with it, to the extent the law allows.
15. Changes to these Terms
We may update these Terms. We'll show the new version when you next sign in, and for significant changes give at least 14 days' notice in the app or by email where you've given us one. Continuing to use Pulse after accepting the new version means you agree to it.
16. Law and disputes
These Terms are governed by the laws of the Islamic Republic of Iran. We'll first try to resolve any dispute informally; if that fails within 30 days, the courts of [city], Iran have jurisdiction. If any part of these Terms is unenforceable, the rest still applies. Where a Persian translation is provided, the English version controls if they differ.
